THE INVESTMENT PROCESS

Yes and no. We focus on two types of investments:
01. We fully acquire small businesses undergoing succession transitions regardless of sector or industry, allowing owners to retire confidently by ensuring their business remains local and placing it in the hand of hard-working employees to bridge the societal wealth gap.
02. We partner with exceptional leaders to achieve their vision in multi-unit manufacturing, consumer or business services businesses. While our core focus are sectors such as health and wellness, education, food and beverage or precision manufacturing, we are intrigued by those with bold ideas and scalable business models. What do you look for in a business?

What is the typical timeline and process for completing a deal together?
We understand speed is critical. While the specific transaction terms will vary, we aim to close within 75 days of signing an LOI. Our investment process follows a streamlined structure to ensure minimum disruption to your business and allow us to understand whether we are the right partners for you:
Initial Conversation: We want to learn more about you and your business, and the story that led to where you are today. We also work to answer any questions you may have about our background or the investment process itself.
Follow-ups and Additional Touchpoints: Rome wasn’t built in a day: we don’t expect you to meet us once and immediately take us at our word. Relationships require trust. Before deeper discussions, we sign a non-disclosure agreement to ensure the utmost confidentiality when treating your company’s information. If we jointly decide to proceed forward, our team will go over your company’s financials, operations, vision, risks, and more. This process will be fully transparent, and the information will be used to help identify potential ways to ensure your business flourishes in the long-term.
Creating the Investment Terms: We’ll collaborate with you to craft the investment terms and critical transaction elements: valuation, timeline and deal structure. Throughout this process, we’ll engage in transparent conversations to ensure that we’re fully aligned and headed in the right direction as partners
Final Due Diligence: We’ll launch a comprehensive due dilligence process, bringing in a team of professionals such as lawyers, accountants and specialists to validate the assumptions outlined in the LOI. Our approach ensures constant, transparent communication, involving you at every step while minimizing business disruptions.
Closing: We will finalize the definitive purchase agreement, stepping in as your trusted partners, committed to helping you and your business achieve new heights.
How do you value my business?
Valuing a business is a complex process, art and science simultaneously. Our process can involve financial assessment, industry analysis, and risk assessment. However, our extensive experience allows us to move at speed and with full transparency on our perspective, while always willing to sit down and discuss it openly.
How do you differ from a traditional Investment Fund?
Unlike traditional funds, we are not constrained by pre-set investment timeline horizons dictated by internal fund dynamics. When we invest in a company, we do so for the long haul, potentially sustaining our investments indefinitely through a reduced stake. This allows us to avoid short-term investor pressure, and allows you to make the best decisions for long-term sustainable success over short-term impact. We are fully aligned with you on this journey from the very first step.
WORKING TOGETHER
How would my day-to-day change if we partnered?
The extent of our involvement would change depending on which transaction structure is right for you:
01. Succession Transitions: You can retire confidently, knowing your business is in the hands of those who care for it. We will mutually agree on a transition period of no more than six months to ensure a fully seamless transition to the new management team. Afterwards, you can continue to be involved in the business in whatever capacity you desire – be it as a trusted advisor, or not at all.
02. Growth Partnerships: We believe in effective collaboration. We leave the daily business to you, avoiding useless noise or hindering your day-to-day operations, and provide you with real support as needed. We help you brainstorm on ways to improve your business while bringing the passion and expertise of our network to help achieve your vision.

What do you mean by employee ownership?

By granting equity and dividends to employees, we not only place wealth directly into their hands but also enhance company performance through aligned incentives, increased productivity, and greater profitability.
When we acquire a business, we immediately begin sharing its success with those who help build it. Employees are granted shares at no cost, which vest as they continue their service. Over time, we increase the employees’ ownership stake, while retaining a minority stake, ensuring that the benefits of growth and success are broadly shared within the company.
